Pricing Policies U-MAPP
In order to protect our premium brand image as well as respond to many of our Distributors’ and resellers’ requests for an effective way to maintain value and support the SPC product line, we have decided to implement a Unilateral Minimum Advertised Price Policy (“U-MAPP”). There has been considerable thought and effort put into our decision to implement U-MAPP. We recognize that our success is tied to the success of our distributors and that you have invested significant time and resources to bring SPC’s Products to market. We want to protect your ability to maintain a high level of service and support while maintaining the value of our products.
We will be implementing U-MAPP for approximately 50-60 of our parts effective November 15, 2015. Other items may be added if necessary and you will be notified when additions or changes are made to the U-MAPP product list.

Specialty Products will implement and take action unilaterally based upon information received by an independent third party and all determinations are final. The U-MAPP shall remain in effect until modified or terminated by us and communicated to you.
To summarize it simply, we have taken the following approach regarding the consequences of violating this policy:

- 1st Violation: SPC will issue a warning letter to the violating Seller. The Seller will have five (5) business days to correct the violation.
- 2nd Violation: SPC will issue a violation letter to the violating Seller and the Seller will be put on a Do-Not-Sell List for a specified number of days.
- 3rd Violation: SPC will issue a violation letter and the Seller will be put on the DNS List indefinitely.
Once notified, it will be the responsibility of the distributor (you) to refrain from selling to anyone on the DNS List. As stated in the U-MAPP, selling to a reseller on the DNS List will have the same violation notice and consequence as violating MIAP.
